This 75 minute co-teaching foundational workshop provides the basic information needed for participants to begin utilizing co-teaching. This engaging video, delivered by co-teaching experts Dr.’s Heck and Bacharach, provides the necessary foundational information that will assist your co-teaching pairs in getting off to a great start. This workshop is intended for use by teacher preparation programs and school districts implementing a co-teaching in student teaching model, and designed for their cooperating teachers, teacher candidates, university supervisors, faculty and administration.

Terms & Agreements

This Agreement between TWH Co-Teaching or TWH Consulting “COMPANY”, Licensor, and College/University or School District “PURCHASER.” In consideration of Licensee’s opportunity to obtain training and Licensor’s copyright protected materials, the parties agree as follows:

The COMPANY hereby grants to the PURCHASER a license to use and place on a secure website (Foundational Workshop for Co-Teaching) the copyright protected video associated with training in the co-teaching model of student teaching. This permission is limited to the following stipulations:

  1. The copyrighted video may only be used by personnel partnering with PURCHASER (university and/or school district).
  2. The copyrighted video MUST be hosted on a secure network where either a login or password is required to obtain access.
  3. The copyrighted video or portions of it may not be used for local, state or national presentations or conferences.
  4. The copyrighted video or portions of it may not be shared with other universities and/or non-partner school districts or their faculty or personnel.
  5. The copyrighted video will be used for the sole purpose of training participants directly involved in the PURCHASERS co-teaching in student teaching program. This may include cooperating teachers, partner district administrators, pre-service teacher candidates, university faculty, and university supervisors associated with the PURCHASER. This license does not authorize Licensee to use Copyrighted Video to provide training to other persons or institutions wishing to adopt the co-teaching model of student teaching.

By purchasing the online training you indicate that you accept the policy and that you agree to abide by it.

  1. ACCESSING THE WEBSITE

You are responsible for making all arrangements necessary for you to download the PRODUCT from the Website. We reserve the right to withdraw or amend the Website and Products, and any service or material that we provide on the Website, in our sole discretion and without notice to you.

  1. INTELLECTUAL PROPERTY RIGHTS
  1. The PURCHASER shall have no right, title or interest in the PRODUCT except as expressly set forth in the Agreement. The PURCHASER acquires no rights or interest in any trademarks or other intellectual property rights of the COMPANY. This Agreement sets forth the entire agreement between the parties relating to the subject matter hereof and stands in the place of any previous agreement, whether oral or in writing. The parties agree that no amendment to this Agreement shall be binding upon the parties unless it is writing and executed by both parties. This Agreement is not transferable to any other party.
  2. The Website and Products and their entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof) are owned by the COMPANY, its licensors or other providers of such material, and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. This Policy permits you to use the Product for your Educational Training use only. No right, title or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted, are reserved by COMPANY.
  3. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, or transmit the PRODUCT, except as follows: (i) You may not store the PRODUCT on a server that is publically accessible. Storage of the PRODUCT is only permissible when it is encrypted on a secure server and may only be transmitted via an SSL or VPN connection to its intended recipient. Furthermore, distribution of the PRODUCT must authenticate its users through the use of complex passwords. (ii) you may download a single copy of the PRODUCT solely for institutional use, provided you agree to be bound by an applicable end user license agreement for such applications;
  4. You may not: (i) use any illustrations, photographs, video or audio sequences or any graphics separately from the accompanying PRODUCT; or (ii) delete or alter any copyright, trademark or other proprietary rights notices from the PRODUCT; or (iii) access or use for any commercial purposes any part of the PRODUCT.
  5. TWH Co-Teaching and TWH Consulting, and all related names, logos, product and service names, designs and slogans, are trademarks of the COMPANY. You may not use such marks without the prior written permission of COMPANY. All other names, logos, product and service names, designs and slogans on the Website are the trademarks of their respective owners.
  1. YOUR OBLIGATIONS AND REPRESENTATIONS

You may use the PRODUCT only for lawful purposes and in accordance with this Policy: The PURCHASER promises:

  1. you are a representative who is authorized to form a binding contract with the COMPANY;
  2. you will not use the PRODUCT in any way that violates any applicable local or international law or regulation;
  3. you will not impersonate or attempt to impersonate COMPANY, a Company employee, another user or any other person or entity;
  4. you will not do anything that could disable, overburden, damage, or impair the PRODUCT or interfere with any person’s use of the PRODUCT;
  5. you will not introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or technologically harmful; and
  6. you will not co-brand or frame the PRODUCT or hyper-link to it without the express prior written permission of an authorized representative of the COMPANY.
  1. COPYRIGHT INFRINGEMENT

The information presented on or through the PRODUCT is made available solely for co-teaching training purposes. The online training video is copyright protected and any infringement of that copyright will be pursued to the greatest extent possible by law.

We take claims of copyright infringement seriously. We will respond to notices of alleged copyright infringement where appropriate. If you believe any materials accessible on or from the PRODUCT infringe your copyright, submit written notification to our COMPANY.

  1. PRIVACY

By using the PRODUCT, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy available at https://twhcoteaching.com/pages/privacy/.

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsem*nt on our part (unless you have received the express written consent of COMPANY).

You may use these features solely as they are provided by us, and solely with respect to the content they are displayed with, and otherwise in accordance with any additional terms and conditions we provide with respect to such features. Subject to the foregoing,you must not:

  • Establish a link from any website that is not owned by you
  • Cause the Website or portions of them to be displayed, or appear to be displayed by, for example, framing, deep linking or in-line linking, on any other site
  • Link to any part of the Website other than the homepage
  • Otherwise take any action with respect to the materials on the Website that is inconsistent with any other provision of this Policy

The website from which you are linking, or on which you make certain content accessible, must comply in all respects with the Content Standards set out in this Policy.   1. EQUITABLE RELIEF

You acknowledge that a breach of any confidentiality or proprietary rights provision of this Policy may cause the Company irreparable damage, for which the award of damages would not be adequate compensation. Consequently, the Company may institute an action to enjoin you from any and all acts in violation of those provisions, which remedy shall be cumulative and not exclusive, and the Company may seek the entry of an injunction enjoining any breach or threatened breach of those provisions, in addition to any other relief to which the Company may be entitled at law or in equity.

  1. GOVERNING LAW AND VENUE

This Policy shall be construed and governed by the laws of the State of Minnesota, without regard to the principles of conflict of laws thereof. You agree and accept that any legal action or proceeding shall be brought in the federal or state courts for the State of Minnesota, County Of Sherburne, and you expressly waive any objection to personal jurisdiction, venue or forum non convenience. If you are a PURCHASER in a member country of the European Economic Area (EEA) or European Union (EU)), this Policy and the relationship between you and us shall be governed by the laws of the EU/EEA member state in which you are domiciled.

  1. SEVERABILITY

If any provision of this Policy is held by a court of competent jurisdiction to be contrary to law, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of this Policy will remain in full force and effect.

  1. WAIVER AND AMENDMENT

If the Company fails to insist upon strict performance of your obligations under any of these terms and conditions, or if the Company fails to exercise any of the rights or remedies to which it is entitled under this Policy, this will not constitute a waiver of such rights or remedies and will not relieve you from compliance with such obligations. No waiver by the Company of any default will constitute a waiver of any subsequent default, and no waiver by the Company of any of these terms and conditions will be effective unless it is expressly stated to be a waiver and is communicated to you in writing.

  1. FUTURE BUSINESS TRANSACTIONS

As we continue to develop our business, we might undergo a change of ownership such as a merger and/or a sale of all or substantially all our stock or assets. In such transactions, user information generally is one of the transferred business assets, and by submitting any data or contributions (collectively, “Data”) to us, you agree that such Data may be transferred to such parties in these circ*mstances. However, any party purchasing our assets will be subject to an obligation to maintain the integrity of your personally identifiable information.

  1. COMPLETE UNDERSTANDING

This Policy, together with the documents expressly referred to herein, constitutes the sole and entire agreement between you and the Company with respect to the Website and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website.
